Important Notice

These Terms of Use contain important provisions concerning:

  • limitations of liability;
  • disclaimers of warranties;
  • assumption of risk;
  • indemnification;
  • intellectual-property rights;
  • dispute resolution;
  • binding arbitration;
  • waiver of jury trial; and
  • waiver of class and representative actions.

Please read these Terms carefully before using any RSG Security website, portal, form, assessment, application, digital service, or online functionality.

1. Acceptance Of These Terms

These Terms of Use (“Terms”) are entered into between you (“you,” “your,” or “User”) and Refuge Services Group Inc., doing business as RSG Security Inc. (“RSG Security,” “RSG,” “Company,” “we,” “our,” or “us”).

These Terms govern your access to and use of websites, webpages, landing pages, portals, online forms, security-assessment tools, employment applications, customer resources, online payment functionality, downloadable materials, digital content, and other online services operated by or on behalf of RSG Security (collectively, the “Website”).

By accessing or using the Website, creating an account, submitting information through the Website, clicking a button indicating acceptance, requesting a quote, requesting an assessment, applying for employment, using a portal, or otherwise interacting with Website functionality, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree with these Terms, you must not use the Website.

If you are using the Website on behalf of a company, property owner, property manager, homeowners' association, employer, organization, or other legal entity, you represent and warrant that you have authority to act on behalf of that entity with respect to your use of the Website.

2. Relationship To RSG Security'S Privacy Policy

Your use of the Website is also subject to the RSG Security Privacy Policy, which describes how RSG Security may collect, use, retain, process, and disclose personal information.

The Privacy Policy is incorporated into these Terms by reference.

Where these Terms and the Privacy Policy address different subjects, each document will apply to its respective subject matter.

3. Relationship To Client Service Agreements

These Terms govern use of the Website.

They do not replace, modify, amend, expand, or supersede an executed Security Officer Service Agreement, Master Services Agreement, Statement of Work, proposal accepted by RSG Security, amendment, change order, post orders, or other written service agreement between RSG Security and a client.

If a client has an executed agreement with RSG Security and a conflict exists between that agreement and these Terms concerning contracted security services, the executed agreement will control with respect to those services.

Nothing contained on the Website creates obligations beyond those contained in an applicable written agreement.

4. Website Use Does Not Create A Security-Services Relationship

THIS IS A MATERIAL CONDITION OF USING THE WEBSITE.

Accessing the Website, submitting a contact form, completing a security assessment, requesting a consultation, requesting pricing, communicating with RSG Security, receiving marketing materials, speaking with a sales representative, or receiving preliminary recommendations does not create a security-services agreement or establish a duty by RSG Security to protect any person, property, facility, organization, or location.

RSG Security assumes no security-service obligation merely because:

  • you contacted us;
  • we contacted you;
  • you requested information;
  • we visited a location;
  • we discussed potential services;
  • we performed a preliminary walkthrough;
  • we provided an estimate;
  • we provided preliminary recommendations;
  • we reviewed security concerns;
  • you submitted information through our Website; or
  • negotiations concerning security services are ongoing.

Security-service obligations begin only when RSG Security has affirmatively agreed to provide services pursuant to an authorized written agreement or other written authorization recognized by RSG Security.

Nothing on the Website creates an implied contract, implied duty, special relationship, fiduciary relationship, assumption of duty, or third-party beneficiary relationship.

5. Website Is Not An Emergency Service

The Website is not an emergency communications system, dispatch center, alarm-monitoring service, law-enforcement service, emergency-response service, or substitute for 911.

Website submissions may not be reviewed immediately.

DO NOT use a contact form, email address, employment form, assessment form, portal message, or other Website functionality to report an emergency requiring immediate assistance.

If you believe there is an immediate threat to life, safety, or property, contact 911 or the appropriate local emergency authority.

Submitting information to RSG Security does not guarantee that RSG Security will receive, review, respond to, investigate, or act upon the information within any particular period unless an executed client agreement expressly provides otherwise.

6. No Guarantee Against Crime, Loss, Injury, Or Security Incidents

Security measures are intended to reduce, deter, detect, document, respond to, or manage certain risks.

No security program, security officer, patrol program, access-control system, camera system, alarm system, technology platform, security assessment, procedure, policy, or combination of measures can eliminate all risk.

Accordingly, RSG Security does not represent, warrant, or guarantee that any security-related information, recommendation, service, product, assessment, procedure, technology, or strategy discussed on the Website will:

  • prevent criminal activity;
  • prevent theft;
  • prevent assault;
  • prevent trespassing;
  • prevent vandalism;
  • prevent unauthorized access;
  • prevent workplace violence;
  • prevent property damage;
  • prevent injury or death;
  • prevent cybercrime;
  • prevent fraud;
  • detect every incident;
  • eliminate every vulnerability; or
  • eliminate all risk.

Criminal conduct and security events may be unpredictable and may occur despite reasonable security measures.

7. Security Assessments And Recommendations

The Website may permit users to request, complete, or receive preliminary security assessments, questionnaires, consultations, recommendations, risk reviews, surveys, or similar information.

Unless expressly stated otherwise in an executed written agreement, these materials are preliminary informational tools only.

A Website-based assessment may rely upon:

  • information supplied by the user;
  • publicly available information;
  • photographs;
  • maps;
  • descriptions;
  • remote information;
  • industry practices;
  • limited observations; or
  • other incomplete information.

Such an assessment may not include a complete physical inspection, engineering analysis, architectural review, threat assessment, law-enforcement analysis, code inspection, or comprehensive evaluation of all risks.

RSG Security does not warrant that an assessment identifies every vulnerability, threat, hazard, deficiency, security condition, or appropriate countermeasure.

Any reference to a “solution,” “recommendation,” “strategy,” “security plan,” “assessment,” or similar terminology means a potential measure that may assist in mitigating certain risks. It does not mean that the measure will eliminate risk or prevent a particular event.

8. No Professional Advice Through Website Content

Website content is provided primarily for general informational, educational, marketing, recruiting, and business purposes.

Unless expressly stated otherwise in a separately executed professional agreement, Website content does not constitute:

  • legal advice;
  • insurance advice;
  • engineering advice;
  • architectural advice;
  • financial advice;
  • tax advice;
  • law-enforcement advice;
  • fire-code advice;
  • building-code advice;
  • cybersecurity advice;
  • emergency-management advice; or
  • other licensed professional advice.
  • Users should obtain appropriate professional advice regarding their specific circumstances.

9. Quotes, Estimates, Pricing, And Proposals

Pricing displayed or communicated through the Website is not necessarily a binding offer.

Preliminary estimates, ranges, examples, hourly rates, cost projections, savings calculations, service configurations, or other pricing information may be subject to:

  • site conditions;
  • staffing requirements;
  • wage requirements;
  • overtime;
  • scheduling;
  • licensing requirements;
  • insurance requirements;
  • equipment;
  • technology;
  • local market conditions;
  • service scope;
  • risk profile;
  • contract terms;
  • deployment timing; and
  • other factors.

Unless RSG Security expressly states otherwise in writing, no quote, estimate, or proposal becomes binding merely because it is generated, displayed, emailed, downloaded, or submitted through the Website.

RSG Security may withdraw, correct, revise, or reject preliminary pricing before execution of a binding agreement.

A security-services contract exists only when accepted in accordance with RSG Security's authorized contracting procedures.

10. Testimonials, Case Studies, Statistics, And Performance Information

The Website may contain testimonials, case studies, statistics, performance information, client experiences, incident-reduction information, response metrics, examples, or other historical information.

Such information may describe particular clients, locations, circumstances, periods, or experiences.

PAST RESULTS DO NOT GUARANTEE FUTURE RESULTS.

Security outcomes depend upon numerous circumstances outside RSG Security's control, including:

  • location;
  • criminal activity;
  • property conditions;
  • client procedures;
  • staffing;
  • visitor behavior;
  • resident behavior;
  • employee behavior;
  • law-enforcement activity;
  • environmental conditions;
  • technology;
  • service scope; and
  • other factors.

Illustrative percentages, statistics, case studies, or testimonials should not be interpreted as a guarantee that another client will obtain the same or similar results.

11. Service Availability

Descriptions of geographic service areas, branch locations, statewide coverage, regional coverage, or particular service capabilities do not constitute a guarantee that RSG Security will accept an engagement or deploy personnel at a particular location.

Service availability may depend upon:

  • licensing;
  • personnel availability;
  • client requirements;
  • service scope;
  • jurisdiction;
  • insurance;
  • scheduling;
  • contract approval;
  • deployment requirements; and
  • business considerations.

RSG Security reserves the right to accept or decline prospective engagements in its discretion, subject to applicable law.

12. Accessing The Website

RSG Security may modify, suspend, restrict, replace, or discontinue all or any portion of the Website at any time.

We do not guarantee uninterrupted availability.

RSG Security is not responsible for Website unavailability caused by:

  • maintenance;
  • software problems;
  • hosting providers;
  • internet outages;
  • cyberattacks;
  • network conditions;
  • third-party platforms;
  • telecommunications failures;
  • governmental action;
  • force majeure events; or
  • other circumstances.

13. User Accounts And Security

Certain Website functions may require an account, username, password, authentication code, or other credentials.

You are responsible for:

  • maintaining the confidentiality of your credentials;
  • protecting your device;
  • restricting unauthorized access;
  • using appropriate passwords;
  • promptly notifying RSG Security of suspected unauthorized activity; and
  • ensuring information associated with your account remains accurate.
  • You may not permit unauthorized persons to use your account.

You are responsible for activity conducted using your credentials to the extent permitted by applicable law.

RSG Security may suspend, disable, reset, limit, or terminate credentials when we reasonably believe doing so is appropriate for security, legal, contractual, operational, fraud-prevention, or other legitimate purposes.

14. Accuracy Of Information Submitted

You represent that information you knowingly submit through the Website is accurate and that you have the right to provide such information.

You agree not to knowingly submit:

  • false information;
  • fraudulent information;
  • misleading information;
  • unlawfully obtained information;
  • malicious files;
  • fabricated documents;
  • impersonated identities; or
  • information you are prohibited from providing.
  • RSG Security may rely upon information submitted by users unless circumstances indicate otherwise.

RSG Security is not responsible for losses arising from materially inaccurate information supplied by a user.

15. Employment And Career Applications

The Website may permit individuals to apply for employment or submit information concerning employment opportunities.

Submitting an application:

  • does not guarantee an interview;
  • does not guarantee employment;
  • does not create an employment contract;
  • does not alter at-will employment principles where applicable;
  • does not guarantee assignment to a particular client or site; and
  • does not guarantee any particular schedule, compensation, hours, position, or duration of employment.
  • Applicants are responsible for providing accurate information.

RSG Security may verify information provided by applicants and may require additional documentation, authorization, licensing, screening, background checks, employment eligibility verification, drug testing, or other lawful requirements before employment or deployment.

Employment matters may be governed by separate applications, authorizations, acknowledgments, policies, arbitration agreements, offer letters, employment agreements, or other documents.

If a separate employment-related agreement conflicts with these Terms concerning employment matters, the applicable employment document controls.

16. Identification And Document Uploads

Certain Website functionality may allow applicants, employees, clients, vendors, or other authorized users to upload documents, photographs, identification, credentials, licenses, certifications, or other records.

You should upload sensitive information only through systems specifically designated by RSG Security for that purpose.

You are responsible for ensuring that:

  • you are authorized to upload the information;
  • the information is genuine;
  • the files do not contain malicious software; and
  • your submission complies with applicable law.

RSG Security may reject, quarantine, delete, retain, or investigate uploaded materials where reasonably necessary for security, fraud prevention, regulatory compliance, employment administration, or legal purposes.

17. Intellectual Property

The Website and its content, design, graphics, software, text, photographs, video, audio, logos, trademarks, service marks, business methods, forms, assessments, reports, layouts, databases, processes, functionality, documentation, and other materials are owned by or licensed to RSG Security unless otherwise indicated.

They may be protected by:

  • copyright;
  • trademark;
  • trade-secret;
  • unfair-competition;
  • patent;
  • database;
  • contractual; and
  • other intellectual-property laws.
  • All rights not expressly granted are reserved.
  • These Terms do not transfer ownership of RSG Security intellectual property to you.

18. RSG Security Name, Marks And Branding

The names:

Refuge Services Group Inc.
RSG Security Inc.
RSG Security

and associated logos, designs, slogans, trade dress, and branding may constitute trademarks, service marks, trade names, or proprietary materials of RSG Security or its affiliates.

You may not use RSG Security branding in a manner that:

  • suggests sponsorship;
  • suggests endorsement;
  • impersonates RSG Security;
  • misrepresents affiliation;
  • confuses customers;
  • harms RSG Security's reputation; or
  • violates intellectual-property laws.
  • Nothing on the Website grants a trademark license unless expressly stated in writing.

19. Limited Permission To Use Website Content

Subject to these Terms, RSG Security grants you a limited, revocable, non-exclusive, non-transferable permission to access the Website for legitimate personal or business informational purposes.

You may reasonably print or save Website materials for your own legitimate internal use.

You may not, without written authorization:

  • reproduce substantial portions of the Website;
  • republish content;
  • commercially exploit Website content;
  • sell Website content;
  • sublicense Website materials;
  • remove copyright notices;
  • remove trademark notices;
  • copy proprietary assessments;
  • copy proprietary forms;
  • create derivative commercial products from Website materials; or
  • represent RSG Security content as your own.

20. Automated Access, Scraping And Artificial Intelligence

Except where expressly authorized in writing, you may not use automated technology to systematically access, scrape, harvest, reproduce, extract, index, mirror, train upon, or commercially exploit Website content.

Prohibited technologies may include:

  • bots;
  • spiders;
  • crawlers;
  • scrapers;
  • automated agents;
  • bulk-download tools;
  • automated data-extraction tools;
  • machine-learning ingestion systems; and
  • artificial-intelligence training systems.

This restriction does not prohibit ordinary indexing by legitimate general-purpose search engines operating in accordance with standard technical instructions provided by RSG Security.

RSG Security reserves all rights regarding machine-learning, artificial-intelligence, text-and-data-mining, and automated use of its proprietary content to the fullest extent permitted by law.

21. Prohibited Uses

You may not use the Website:

  • for unlawful purposes;
  • to impersonate another person;
  • to misrepresent affiliation;
  • to submit fraudulent service requests;
  • to submit fraudulent employment applications;
  • to harass individuals;
  • to threaten individuals;
  • to distribute malware;
  • to conduct phishing;
  • to probe Website vulnerabilities without authorization;
  • to circumvent security mechanisms;
  • to interfere with Website operation;
  • to obtain unauthorized access;
  • to compromise user credentials;
  • to collect information about other users without authorization;
  • to violate privacy rights;
  • to infringe intellectual-property rights;
  • to conduct denial-of-service attacks;
  • to introduce viruses or harmful code;
  • to access restricted systems;
  • to interfere with RSG Security's infrastructure;
  • to manipulate Website analytics or forms;
  • to submit excessive automated requests;
  • to reverse engineer protected technology except where applicable law expressly prohibits restriction; or
  • to engage in conduct that creates risk or liability for RSG Security.

22. Security Testing And Unauthorized Access

You may not conduct penetration testing, vulnerability scanning, credential testing, security research, load testing, exploitation, probing, or similar activity against the Website or RSG Security systems without express written authorization.

Unauthorized access or attempted unauthorized access may be investigated and referred to appropriate authorities.

RSG Security reserves the right to preserve evidence and cooperate with service providers, cybersecurity professionals, law enforcement, regulators, courts, and other appropriate parties.

23. User Submissions

You may submit information through contact forms, assessment tools, employment applications, reviews, communications, portal functions, and similar Website features.

You retain any ownership rights that you otherwise possess in your submissions.

By submitting information, you grant RSG Security a non-exclusive right to receive, reproduce, store, process, transmit, analyze, and use the submitted material as reasonably necessary to:

  • respond to you;
  • evaluate your request;
  • provide services;
  • administer employment;
  • investigate security matters;
  • perform business operations;
  • comply with law;
  • protect legal rights; and
  • fulfill other purposes described in our Privacy Policy.

This provision does not grant RSG Security an unrestricted right to publicly market confidential information merely because it was submitted through the Website.

24. Feedback And Ideas

If you voluntarily provide non-confidential suggestions, ideas, recommendations, concepts, or feedback concerning RSG Security products, services, websites, technology, or business operations (“Feedback”), RSG Security may use that Feedback without payment or obligation to you, except where otherwise agreed in writing.

Do not submit confidential intellectual property through a general Feedback channel unless an appropriate written confidentiality agreement is in place.

25. Customer Portals And Client Information

RSG Security may provide portals or digital systems through which authorized clients can view:

  • reports;
  • schedules;
  • incident information;
  • invoices;
  • service information;
  • security-related documentation; or
  • other account information.
  • Portal access may contain confidential or security-sensitive information.

Users must not:

  • share portal credentials with unauthorized persons;
  • distribute security-sensitive information without authorization;
  • publish client reports;
  • expose resident, employee, visitor, or incident information;
  • download information for unauthorized purposes; or
  • attempt to access another client's information.

RSG Security may immediately suspend portal access when it reasonably believes unauthorized use or a security risk has occurred.

26. Confidential And Security-Sensitive Material

Certain Website or portal information may concern:

  • security procedures;
  • post orders;
  • patrol routes;
  • camera locations;
  • alarm procedures;
  • credentials;
  • access-control procedures;
  • incident histories;
  • emergency plans;
  • property vulnerabilities;
  • resident information;
  • visitor records;
  • law-enforcement matters; or
  • other security-sensitive subjects.
  • Access to such information does not authorize public disclosure.

Users who obtain security-sensitive information must handle it responsibly and in accordance with applicable law and contractual obligations.

27. Third-Party Services

The Website may interact with third-party systems such as:

  • payment processors;
  • customer-relationship-management platforms;
  • mapping services;
  • social-media services;
  • scheduling systems;
  • employment platforms;
  • electronic-signature systems;
  • security-management platforms;
  • analytics providers;
  • cloud providers; and
  • other technology services.
  • RSG Security does not control all aspects of third-party services.
  • Use of a third-party platform may also be governed by that provider's terms and privacy policy.

To the fullest extent permitted by law, RSG Security is not responsible for independent acts, omissions, outages, cybersecurity incidents, privacy practices, content, or services of third parties outside RSG Security's reasonable control.

28. Third-Party Links

The Website may contain links to websites operated by other entities.

Links are provided for convenience and informational purposes.

A link does not necessarily constitute:

  • endorsement;
  • sponsorship;
  • partnership;
  • approval; or
  • verification.
  • RSG Security does not control and is not responsible for third-party websites or their content.
  • Use of third-party websites is at your own risk and subject to the applicable third party's terms.

29. Payments

Where the Website permits payments, you agree to provide accurate billing and payment information.

Payment transactions may be processed through third-party financial institutions or payment processors.

You authorize applicable charges presented to you in connection with transactions you affirmatively initiate or otherwise authorize.

Use of online payment functionality does not modify:

  • payment terms;
  • late fees;
  • financing charges;
  • credit-card surcharges;
  • collection rights;
  • invoice disputes;
  • contractual remedies; or

other payment provisions

contained in an applicable agreement, invoice, payment authorization, or other governing document.

If a service agreement governs payment, the service agreement controls.

30. Website Changes

RSG Security may add, modify, remove, update, or discontinue Website content and functionality without guaranteeing that previously available functionality will remain available.

Website content may contain outdated information.

RSG Security is not obligated to continuously update every Website page unless required by law.

31. Website Information May Contain Errors

Although RSG Security may take reasonable steps to maintain Website information, errors may occur.

The Website may contain:

  • typographical errors;
  • technical errors;
  • outdated information;
  • inaccurate links;
  • pricing errors;
  • incomplete descriptions; or
  • other inaccuracies.

RSG Security reserves the right to correct errors without liability to the fullest extent permitted by law.

32. Disclaimer Of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND ITS CONTENT, TOOLS, MATERIALS, ASSESSMENTS, RESOURCES, AND FUNCTIONALITY ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

RSG SECURITY DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • TITLE;
  • NON-INFRINGEMENT;
  • ACCURACY;
  • COMPLETENESS;
  • AVAILABILITY;
  • SECURITY;
  • RELIABILITY; and
  • ERROR-FREE OPERATION.

RSG Security does not warrant that:

  • the Website will operate continuously;
  • defects will always be corrected;
  • Website information will always be accurate;
  • Website servers will be free from malicious code;
  • third-party systems will remain available;
  • transmissions will always be secure; or
  • Website functionality will satisfy a particular user's requirements.
  • Nothing in this section excludes a warranty that applicable law does not permit to be excluded.

33. Cybersecurity And Technology Disclaimer

RSG Security uses reasonable measures appropriate to its operations, but no internet-connected system is completely secure.

RSG Security cannot guarantee that:

  • communications will never be intercepted;
  • accounts will never be compromised;
  • malicious code will never be introduced;
  • service providers will never experience incidents;
  • data transmission will never fail; or
  • unauthorized parties will never attempt to access systems.

Users are responsible for maintaining appropriate security protections on their own devices, networks, accounts, and systems.

34. Limitation Of Liability For Website Use

THIS SECTION APPLIES TO CLAIMS ARISING FROM THE WEBSITE OR DIGITAL CONTENT AND DOES NOT MODIFY ANY SEPARATE LIABILITY PROVISION CONTAINED IN AN EXECUTED RSG SECURITY SERVICE AGREEMENT.

TO THE FULLEST EXTENT PERMITTED BY LAW, RSG SECURITY AND ITS PARENTS, SUBSIDIARIES, AFFILIATES, OWNERS, SHAREHOLDERS, DIRECTORS, OFFICERS, MANAGERS, EMPLOYEES, SECURITY PERSONNEL, CONTRACTORS, AGENTS, LICENSORS, VENDORS, SERVICE PROVIDERS, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO USE OF OR INABILITY TO USE THE WEBSITE.

THIS INCLUDES, TO THE EXTENT PERMITTED BY LAW:

  • LOST PROFITS;
  • LOST REVENUE;
  • LOST BUSINESS;
  • LOST OPPORTUNITIES;
  • LOST DATA;
  • LOSS OF GOODWILL;
  • BUSINESS INTERRUPTION;
  • TECHNOLOGY FAILURE;
  • LOSS ARISING FROM RELIANCE UPON WEBSITE INFORMATION; and
  • COSTS OF SUBSTITUTE SERVICES.

TO THE FULLEST EXTENT PERMITTED BY LAW, RSG SECURITY'S AGGREGATE LIABILITY FOR CLAIMS ARISING EXCLUSIVELY FROM USE OF THE PUBLIC WEBSITE SHALL NOT EXCEED THE GREATER OF:

(A) THE AMOUNT, IF ANY, ACTUALLY PAID BY YOU DIRECTLY TO RSG SECURITY SPECIFICALLY FOR THE WEBSITE FUNCTIONALITY GIVING RISE TO THE CLAIM DURING THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR

(B) ONE HUNDRED DOLLARS ($100.00).

This Website liability limitation does not replace a separately negotiated limitation of liability contained in an executed client agreement.

If applicable law does not permit a particular limitation, the limitation will apply to the maximum extent permitted by law.

35. No Expansion Of Security Liability

Website statements describing RSG Security's capabilities, technology, personnel, experience, geographic coverage, procedures, security strategies, reporting, monitoring, or services do not expand RSG Security's contractual duties.

No Website statement creates:

  • a guarantee of safety;
  • a guarantee against crime;
  • an insurer relationship;
  • a fiduciary duty;
  • a duty to any unidentified third party;
  • a duty broader than an executed agreement; or
  • a warranty that all security incidents can be prevented.

Where security services are contracted, RSG Security's duties are determined by the applicable written agreement and authorized scope of services.

36. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless RSG Security and its parents, subsidiaries, affiliates, owners, shareholders, directors, officers, managers, employees, contractors, agents, licensors, vendors, successors, and assigns from and against third-party claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys' fees arising out of or relating to:

  • your unlawful use of the Website;
  • your material violation of these Terms;
  • your infringement of another person's intellectual-property rights;
  • your fraudulent submissions;
  • malicious code introduced by you;
  • unauthorized access caused by your intentional misconduct;
  • your User Contributions;
  • your misuse of confidential or security-sensitive information; or
  • your violation of applicable law through use of the Website.

This indemnity does not require you to indemnify RSG Security for liability that applicable law prohibits RSG Security from shifting to another party.

37. Suspension And Termination Of Website Access

RSG Security may restrict, suspend, or terminate Website or portal access where reasonably appropriate, including because of:

  • violation of these Terms;
  • cybersecurity concerns;
  • suspected fraud;
  • unauthorized access;
  • misuse of confidential information;
  • threats;
  • unlawful conduct;
  • nonpayment where account access depends upon payment;
  • termination of a client relationship; or
  • protection of RSG Security, clients, users, or third parties.

Termination of Website access does not eliminate obligations or liabilities that accrued before termination.

38. Investigations And Law Enforcement

RSG Security may investigate suspected violations of these Terms.

To the extent permitted by law, RSG Security may preserve and disclose relevant information to:

  • law enforcement;
  • regulators;
  • courts;
  • attorneys;
  • cybersecurity specialists;
  • insurers;
  • service providers; or

affected clients

where reasonably necessary to investigate suspected misconduct, protect rights, comply with legal obligations, or address a security incident.

39. Copyright And Intellectual-Property Complaints

If you believe material appearing on an RSG Security website infringes intellectual-property rights, you may submit written notice to RSG Security containing sufficient information to identify:

  • the protected work;
  • the allegedly infringing material;
  • the location of the material;
  • your contact information;
  • the basis for your claim; and
  • your authority to make the complaint.
  • RSG Security may remove or restrict access to disputed material while evaluating a good-faith claim.

40. Governing Law

Except where federal law controls or applicable law requires otherwise, these Terms and disputes arising primarily from use of the Website will be governed by the laws of the State of Florida, without giving effect to conflict-of-laws principles that would require application of another jurisdiction's laws.

41. Informal Dispute Resolution

Before initiating arbitration concerning a Website dispute, the party asserting the dispute must provide the other party with written notice describing:

  • the identity of the claimant;
  • the nature of the dispute;
  • relevant facts;
  • the relief requested; and
  • sufficient information to permit reasonable evaluation of the dispute.

The parties will make a good-faith effort to resolve the dispute informally for at least 30 days following receipt of the notice before commencing arbitration, unless immediate equitable relief is reasonably necessary.

This informal process does not apply where prohibited by law.

42. Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHT TO GO TO COURT.

Except for disputes excluded below, a dispute arising out of or relating primarily to:

  • these Terms;
  • use of the Website;
  • Website content;
  • online assessments;
  • Website accounts;
  • public Website functionality; or

the interpretation or enforceability of these Terms

that cannot be resolved informally shall be resolved through final and binding arbitration.

The arbitration shall be administered by JAMS under the applicable JAMS rules in effect when arbitration is initiated, except where those rules conflict with applicable law or these Terms.

The arbitration will ordinarily:

  • be conducted before one neutral arbitrator;
  • occur in Orange County, Florida, unless applicable law requires another location or the parties agree otherwise;
  • apply Florida substantive law where appropriate;
  • permit reasonable discovery as determined by the arbitrator; and
  • result in a written award to the extent required by applicable rules or law.
  • Judgment upon the arbitration award may be entered in a court having jurisdiction.

If JAMS is unavailable or unwilling to administer the dispute, the parties may agree upon another established arbitration provider, or a court of competent jurisdiction may appoint or determine an appropriate provider as permitted by law.

The Federal Arbitration Act and applicable Florida arbitration law will govern the enforceability of this arbitration provision to the extent applicable.

43. Disputes Not Covered By Website Arbitration Clause

The preceding Website arbitration provision does not supersede a dispute-resolution provision contained in a separately executed:

  • Security Officer Service Agreement;
  • Master Services Agreement;
  • employment arbitration agreement;
  • vendor agreement;
  • financing agreement;
  • promissory note;
  • confidentiality agreement; or
  • other contract.

Where a separate binding agreement has its own dispute-resolution provisions, that agreement controls the disputes within its scope.

The Website arbitration provision also does not prevent either party from:

  • pursuing an eligible matter in small-claims court;

seeking temporary or preliminary injunctive relief where necessary to protect intellectual property, confidential information, cybersecurity, credentials, or security-sensitive information; or

pursuing remedies that applicable law expressly prohibits from being subject to arbitration.

44. Class-Action And Representative-Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND RSG SECURITY AGREE THAT WEBSITE-RELATED DISPUTES SUBJECT TO ARBITRATION WILL BE RESOLVED ON AN INDIVIDUAL BASIS.

Neither party may bring or participate in a class, collective, consolidated, mass, or representative proceeding concerning a claim subject to this waiver except where applicable law prohibits such a waiver.

The arbitrator may award relief only to the extent necessary to resolve the individual claimant's dispute, except where applicable law requires otherwise.

45. Jury-Trial Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, FOR ANY WEBSITE-RELATED DISPUTE THAT IS NOT SUBJECT TO ARBITRATION, YOU AND RSG SECURITY KNOWINGLY AND VOLUNTARILY WAIVE TRIAL BY JURY.

This waiver does not apply where applicable law prohibits waiver.

46. Court Venue For Non-Arbitrable Website Disputes

For Website disputes that are not required to be arbitrated and for which venue may lawfully be selected, the parties consent to jurisdiction and venue in the appropriate state or federal court serving Orange County, Florida.

This provision does not supersede a different venue expressly agreed upon in a separate contract governing the underlying dispute.

47. Applicable Limitations Period

Any claim must be brought within the period permitted or required by applicable law.

Nothing in these Terms is intended to unlawfully shorten a limitations period that Florida law or other applicable law prohibits the parties from shortening.

48. Equitable Relief

Unauthorized disclosure or misuse of:

  • intellectual property;
  • confidential information;
  • trade secrets;
  • security credentials;
  • security-sensitive information;
  • client data; or

restricted systems

may cause harm that cannot be fully remedied through monetary damages.

RSG Security may seek temporary, preliminary, or permanent injunctive or equitable relief in a court of competent jurisdiction where permitted by law without waiving an otherwise applicable arbitration provision.

49. Force Majeure

To the fullest extent permitted by law, RSG Security will not be responsible for failure or delay in Website performance caused by circumstances outside its reasonable control, including:

  • natural disasters;
  • hurricanes;
  • severe weather;
  • fires;
  • floods;
  • epidemics;
  • pandemics;
  • war;
  • terrorism;
  • civil disturbances;
  • government orders;
  • telecommunications failures;
  • internet outages;
  • utility failures;
  • cyberattacks;
  • labor disruptions;
  • vendor failures; or
  • similar events.

This Website provision does not supersede any force-majeure provision contained in an executed service agreement.

50. Waiver

Failure by RSG Security to enforce a provision of these Terms does not waive that provision or RSG Security's right to enforce it later.

A waiver must be expressly authorized and does not constitute a continuing waiver unless expressly stated.

51. Severability

If a court or arbitrator of competent jurisdiction determines that a provision of these Terms is invalid or unenforceable, the provision will be enforced to the maximum extent permitted by law or, where appropriate, severed.

The remaining provisions will remain in effect.

Where legally permissible, an invalid provision may be modified to most closely accomplish its intended lawful purpose.

52. Assignment

You may not transfer or assign your rights or obligations under these Terms in a manner that materially affects RSG Security without authorization.

RSG Security may assign these Terms in connection with:

  • a merger;
  • acquisition;
  • reorganization;
  • corporate restructuring;
  • financing;
  • sale of assets;
  • transfer to an affiliate; or

similar business transaction

subject to applicable law.

53. No Third-Party Beneficiaries

Except as expressly stated, these Terms do not create rights for third parties.

Use of RSG Security's Website by or concerning another person does not make that person a third-party beneficiary of these Terms or create a contractual duty owed by RSG Security to that person.

54. Electronic Communications

By using digital Website functionality, you consent to receive certain communications electronically where permitted by law.

Electronic records, notices, acknowledgments, and transactions may have the same legal effect as paper records and handwritten communications where permitted by applicable law.

You are responsible for maintaining accurate contact information.

55. Changes To These Terms

RSG Security may revise these Terms from time to time.

Revised Terms will identify an updated effective or revision date.

Changes generally apply prospectively after posting except where:

  • applicable law provides otherwise;
  • an existing agreement controls;
  • a different effective date is stated; or
  • additional notice or affirmative consent is legally required.

Material changes to arbitration or dispute-resolution provisions will be handled in accordance with applicable law.

56. Entire Website Agreement

These Terms and the RSG Security Privacy Policy constitute the general agreement between you and RSG Security regarding use of the public Website.

They supersede prior understandings concerning Website use.

They do not supersede executed agreements governing:

  • security services;
  • employment;
  • financing;
  • vendors;
  • confidentiality;
  • leases;
  • equipment;
  • technology;
  • payment obligations; or
  • other separate business relationships.

57. Construction

Headings are provided for convenience and do not limit the meaning of these Terms.

Words such as “including” and “include” mean “including without limitation” unless the context requires otherwise.

A reference to applicable law includes applicable statutes, regulations, ordinances, rules, and legally binding governmental requirements.
